AMENDED AND RESTATED
9. INDEMNIFICATION
- Every officer and director of the Association shall be held harmless
and indemnified by the Association against all expenses and liabilities,
including, without limitation, reasonable attorney's fees, incurred or
imposed in connection with any proceedings to which he may be a party
or in which he may become involved (or any settlement thereof) by reason
of his being or having been an officer or Director of the Association,
whether or not he is an officer or Director at the time such expenses
are incurred. The officer or Director shall not be indemnified in cases
wherein he is adjudged guilty of gross negligence, willful misconduct,
nonfeasance, misfeasance, or malfeasance in the performance of his duties
or shall have breached his fiduciary duty to the unit owners of the Association.
Provided, further, that the Association shall not be liable for the payment
of a voluntary settlement unless it is first approved by the Board of
Directors. The foregoing rights shall be in addition to and not exclusive
of all other rights to which the officer or Director may be entitled
